Terms of Agreement for Participation of the

LNC Accelerator™: Beyond The Basics AI Course: Beta Testing Group

This Terms of Agreement ("Agreement") is entered into between the participant ("Participant") and Stephaney Edwards ("Course Administrator") for participation in theLNC Accelerator™: Beyond The Basics AI Course: Beta Testing Group("Course").

1. Participation Requirements:

1.21. Confidentiality: Participant agrees to maintain strict confidentiality regarding all Course materials, including but not limited to access methods, processes, content, and any derived alterations ("Confidential Information"). Participant shall not disclose Confidential Information to any third party without prior written consent from Course Administrator.

1.1.1. Definition: "Confidential Information" shall include all information disclosed by Course Administrator to Participant, whether orally or in writing, that is not publicly known and is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, but is not limited to, Course materials, methodologies, algorithms, software, data, business plans, and strategies.

1.1.2. Obligations: Participant agrees to hold all Confidential Information in strict confidence and to take all reasonable precautions to protect such Confidential Information. Participant shall not disclose, disseminate, or otherwise make available Confidential Information to any third party without prior written consent from Course Administrator, except as required by law.

1.1.3. Use Limitation: Participant shall use Confidential Information solely for the purpose of participating in the Course and providing feedback to Course Administrator.

1.1.4. Return or Destruction: Upon completion of the Course or upon request by Course Administrator, Participant agrees to promptly return or destroy all Confidential Information and any copies thereof in Participant's possession or control.

1.1.5. No Guarantees: Participant acknowledges and agrees that Course Administrator makes no guarantees, representations, or warranties, express or implied, regarding the Course, including but not limited to the accuracy, completeness, or reliability of any information or materials provided. Participant understands that participation in the Course constitutes a testing and feedback group, and outcomes, including but not limited to Course effectiveness, results, or outcomes, are not guaranteed.

1.1.6. Survival: Participant's obligations of confidentiality shall survive the termination or expiration of this Agreement.

1.2. Feedback: Participant agrees to provide all feedback regarding the Course directly to Stephaney Edwards ONLY. Participant acknowledges that any feedback provided shall become the property of Course Administrator and may be used for further development or promotion of the Course.

1.2.1. Purpose: Participant agrees to provide timely and honest feedback to Course Administrator regarding Participant's experience with the Course. Feedback may include suggestions, critiques, and observations aimed at improving the Course.

1.2.2. Exclusivity: Participant agrees that all feedback provided shall be the exclusive property of Course Administrator. Participant hereby assigns all rights, title, and interest in and to the feedback to Course Administrator, including any intellectual property rights therein.

1.2.3. Feedback Format: Participant shall provide feedback directly to Stephaney Edwards only, through channels designated by Course Administrator. Participant agrees not to disclose feedback to any third party without Course Administrator's prior written consent.

1.2.4. Non-Disparagement: Participant agrees not to make any disparaging remarks or comments about the Course, Course Administrator, or related parties, whether orally or in writing, including on social media platforms or to third parties.

1.2.5. Impact on Course Development: Participant acknowledges that feedback provided may be used by Course Administrator for further development, improvement, or promotion of the Course, without any further compensation to Participant.

2. Participant's Commitment:

Participant agrees to actively participate in all Course activities and to provide timely and constructive feedback. Participant will comply with all Course policies and guidelines, engage professionally with Course Administrator and fellow participants, and contribute to a positive and respectful learning environment.

3. Legal Compliance:

3.1. Binding Agreement : This Agreement constitutes a legally binding contract between Participant and Course Administrator.

3.2. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

4. Miscellaneous:

4.1. Modification: This Agreement may only be modified or amended in writing signed by both parties.

4.2. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

By ticking our terms and conditions box on this page or by participating in the Course, Participant acknowledges and agrees to all terms and conditions set forth in this Agreement.
